Welcome to CSCapture, a service provided by Flow-ware Inc. ("we," "us," or "our"). By signing up for and using our Service ("CSCapture"), you ("User") agree to these Terms of Service ("Terms"). Please read them carefully.

1. Scope of the Service

1.1 CSCapture is a commercial software-as-a-service (SaaS) platform designed to process, manage, and analyze commission statements for Employee Health Insurance Benefits (“EHIB”) brokerages.

1.2 The Service includes access to features such as automated document processing, data extraction, reporting, and dashboards.

1.3 The Service may be updated periodically to improve functionality, introduce new features, or correct issues.

2. User Responsibilities

2.1 Users must provide accurate information during registration and maintain the confidentiality of their account credentials.

2.2 Users agree to use the service solely for its intended purpose: processing and managing commission statements.

2.3 Users are responsible for ensuring that they have the rights to upload and process any documents submitted to the Service.

3. Fees and Billing

3.1 Usage-Based Pricing: CSCapture is a usage-based SaaS solution. Fees are based on the number of unique commission statements processed each calendar month.

3.2 Duplicate Files: Commission statements that are uploaded multiple times without modification will not be reprocessed and will not incur additional charges.

3.3 Billing Cycle: Charges are calculated monthly based on actual usage. Users will receive a detailed invoice at the end of each billing cycle outlining the number of commission statements processed and the corresponding charges.

3.4 Payment Terms: All fees are due upon receipt of invoice unless otherwise specified. Failure to remit payment may result in suspension or termination of access to the Service.

3.5 Changes to Pricing: Flow-ware Inc. reserves the right to adjust pricing or introduce new charges with prior notice of at least 30 days. Any such changes will apply to subsequent billing cycles.

3.6 Disputed Charges: If you believe that flow-ware Inc. has billed you incorrectly, you must contact us in writing within 60 days of the charge date. Refunds or adjustments will not be issued for disputes raised after this period. We reserve the right to suspend or terminate your access to the service if a chargeback is initiated without first attempting to resolve the matter with us directly.

4. Limitations and Disclaimers

4.1 The Service is provided "as is" and "as available." Flow-ware Inc. makes no guarantees

4.2 Flow-ware Inc. is not liable for any damages, loss of data, or interruptions resulting from the use of the Service.

Flow-ware Inc., the owner and operator of CSCapture ("we," "our," or "us"), values your privacy. This Privacy Policy outlines how we collect, use, and protect your information.

7.2 Upon termination, access to the Service will be revoked, and submitted data may no longer be accessible.

8.1 Flow-ware Inc. reserves the right to modify these Terms or the Service at any time. Users will be notified of significant changes via email or within the platform.

8.2 Continued use of the Service after changes constitutes acceptance of the updated Terms.

9. Governing Law and Jurisdiction

These Terms are governed by the laws of the State of Delaware, without regard to conflict of law principles.

10. Dispute Resolution

Any disputes shall be resolved exclusively in the state or federal courts located in Delaware. You consent to the jurisdiction of such courts.
